1. Purpose

1. These Terms and Conditions (“Terms”) govern the conditions and procedures for the use of internet services provided through SOLNZ.NET.
2. “SOLNZ.NET” refers to the official website operated by SOL Edu & Migration Limited, a New Zealand-registered company providing services related to study abroad, immigration, and working holiday programs in New Zealand. “User” refers to any individual who accesses SOLNZ.NET and registers as an online member to use its services.

2. Effectiveness and Amendments

1. These Terms become effective when posted on the SOLNZ.NET website or otherwise notified to members.
2. The Company may amend these Terms at its discretion. Amended Terms shall become effective upon posting or notification in the same manner.
3. If a member does not agree to the revised Terms, they may discontinue use of the service and request membership cancellation. Continued use of the service after the effective date of the revised Terms constitutes acceptance of the changes.

3. Governing Rules

Matters not specified in these Terms shall be governed by applicable telecommunications laws, e-commerce regulations, customary commercial practices, and other relevant laws.

4. Formation of Service Agreement

The service agreement is formed when SOLNZ.NET accepts a user’s application for membership.

In principle, service agreements are concluded on a per-ID basis.

1. Members may review and modify their personal information at any time within the website.
2. The Company may limit or suspend approval of membership applications if:
   • System capacity is insufficient
   • Technical issues occur
   • Other reasonable grounds exist
3. The Company may restrict or revoke membership if:
   • False information was provided
   • Another person’s identity was used
   • These Terms were violated
   • The operation of SOLNZ.NET was obstructed
   • The application was made for purposes contrary to public order or morals
   • Eligibility requirements were not met
   • The applicant is registered as a credit defaulter under applicable credit laws
4. The Company will notify the applicant if approval is withheld, except where notification is not possible without fault of the Company.
5. For minors, approval may be withheld in accordance with service-specific policies.
6. The Company may change a member’s ID if:
   • It contains personal information (e.g., phone number, national ID number)
   • It is offensive or violates social norms
   • Other reasonable grounds exist

   • When necessary for delivery services
   • For limited banking or payment processing purposes
   • For statistical, research, or promotional purposes where individuals cannot be identified
5. If the Company enters into a business partnership or affiliation with another entity, members may become members of the affiliated entity. Members will be notified in advance by email and may opt out of information sharing.
6. The ultimate purpose of collecting personal information by SOLNZ.NET is to provide customized services to its members. The scope includes content services, communication services, online shopping services, and other services.
7. Personal information is retained while membership is active. Upon termination or revocation of membership, personal information will be deleted in accordance with Company policy.
8. The Company may compile statistical data and may use cookies to improve services. Members may refuse cookies through browser settings.

8. Obligations of the Company

1. The Company shall make services available from the approved service commencement date.
2. The Company shall strive to provide continuous and stable services and promptly repair any system failures unless due to force majeure.
3. The Company shall handle legitimate complaints appropriately and inform members of processing timelines if delays occur.
4. The Company shall protect member privacy in accordance with these Terms.
5. The Company shall endeavor to provide convenience in contract-related procedures.

9. Obligations of Members

1. Members must comply with all applicable laws, these Terms, service guidelines, and notices issued by the Company, and must not engage in any activity that interferes with the Company’s operations.
2. Members are fully responsible for managing their account ID and password. The Company is not liable for any consequences resulting from negligent management or unauthorized use of a member’s ID or password.
3. Members must comply with all usage restrictions posted in service announcements or otherwise communicated separately by the Company.
4. Members may not use the Service for commercial purposes without the prior written consent of the Company. The Company shall not be liable for any outcomes arising from such commercial activities, and members shall indemnify and hold the Company harmless for any damages resulting from unauthorized commercial use.
5. Membership rights, service access privileges, and other contractual rights may not be transferred, assigned, gifted, or pledged as security to any third party.
6. Members must immediately notify the Company if their account ID is used fraudulently or without authorization.
7. Members agree to receive service-related communications, including emails, sent by the Company as part of the Service.
8. Members shall not engage in any of the following prohibited acts:
   • Unauthorized use of another member’s ID or account.
   • Reproducing, copying, publishing, broadcasting, distributing, or otherwise using information obtained through the Service for purposes other than personal use without prior written consent from the Company, or providing such information to third parties.
   • Infringing upon the intellectual property rights of the Company or any third party, including copyrights or other proprietary rights.
   • Distributing or transmitting information, text, images, or other content that violates public order, decency, or generally accepted moral standards.
   • Engaging in conduct that is objectively deemed to be related to or facilitating criminal activity.
   • Any act that violates applicable laws or regulations.

Members wishing to terminate the agreement must notify the Company at least one (1) day prior to the intended termination date (or two (2) days prior if the termination date falls on a public holiday).

11. Termination by Company

The Company may terminate or suspend service without prior notice if a member:

• Misuses another’s ID or password
• Intentionally disrupts service operations
• Registers under a false name
• Creates duplicate accounts
• Distributes harmful or immoral content
• Damages national or public interest
• Defames others
• Sends excessive or advertising information
• Distributes computer viruses
• Infringes intellectual property rights
• Violates election laws or regulatory directives
• Publishes obscene content or links
• Violates these Terms

12. Purchase Application

1. E-commerce services are generally available to members only.
2. Members may apply for purchases by completing the required information on the website.
3. Applications containing false or incomplete information may be rejected.
4. Applicants under 13 years of age require parental consent.

13. Service Fees

   • Online study processing services: Paid
2. Payment methods:
   • Approved credit cards
   • Bank deposits into Company-designated accounts
   • Other payment methods introduced for user convenience

The Company is not liable for failure to provide services due to force majeure events.

The Company is not responsible for service disruptions caused by users.

The Company is not liable for losses resulting from user expectations of profit or reliance on service data.

The Company does not guarantee the accuracy or reliability of information posted by users.

15. Intellectual Property Rights

1. All content on SOLNZ.NET, including articles, photographs, graphics, and videos, is the intellectual property of SOL Edu & Migration.
2. No content may be used without prior written permission.

16. Compensation for Damages

The Company is not liable for any damages arising from the use of free services.

17.Additional Disclaimer

• The Company is exempt from liability in cases of force majeure.
• The Company is not liable for user-caused service disruptions or lost profits.

18. Jurisdiction

Any legal dispute arising from the use of services shall be subject to the exclusive jurisdiction of the court having authority over the Company’s registered office in New Zealand.
